By-Laws

Article I. Name of the Association


The name of the association shall be known as the Alapaha Blue-Blood Bulldog Club (ABBC), a corporation organized under and pursuant to the laws of the State of California. The principal office of the association shall be located at 10614 mt Tacoma dr sw Lakewood wa 98498.


Article II.  Aims and Objectives

2.1  To establish an association that will encourage unity amongst breeders and fanciers from varying registries of the Alapaha Blue-Blood Bulldog.

2.2  To establish or sanction and support a breed registry that would truthfully, correctly and accurately keep a record or account of pedigrees of the Alapaha Blue-Blood Bulldog.

2.3  To set a breed standard and to encourage breeders and other members to accept the minimum standard of the breed, as approved and established by the Alapaha Blue-Blood Bulldog Club (ABBC).

2.4  To organize Alapaha Blue-Blood Bulldog shows and events in order to promote and better the breed as well as espouse camaraderie and unity amongst breeders and fanciers of the Alapaha Blue-Blood Bulldog.

2.5  To encourage membership participation and involvement in events sponsored by this Club. The Alapaha Blue-Blood Bulldog Club (ABBC) will also ensure that fair and appropriate conduct shall be observed by participants and judges alike.

2.6  To maintain the intergrity of the Alapaha Blue-Blood Bulldog through breeding only for the betterment of the breed. The Alapaha Blue-Blood Bulldog Club (ABBC) will rigorously encourage and advise members on ethical breeding practices as well as breeding from superior stock only. In the same token, the Club  will also penalize and/or discipline and correct any breeder that knowingly breed or promote dogs with genetic defects (i.e. dysplasia), and/or for illegal purposes (i.e. dogfighting).

2.7  To promote the Alapaha Blue-Blood Bulldog breed through truthful information disemmination, and to encourage continuous open sharing of such information with members and with the public in order to dispel myths and lies perpetrated by those who seek to monopolize and mongrelize the breed.

2.8  In order to accomplish its objectives, the Alapaha Blue-Blood Bulldog Club (ABBC) shall have the power to purchase, rent or lease property for the holding of its meetings, activities, etc., and to acquire and hold by purchase or gift such personal and real property as may be necessary to carry out its said aims and objectives. And to receive dues, subscriptions and donations.


Article III. Membership

3.1  Membership is available to anyone who owns a certified Alapaha Blue-Blood Bulldog, regardless of registry. Eligible members must demonstrate that his Alapaha Blue-Blood Bulldog must be registered with any of the recognised registry of the Alapaha Blue-Blood Bulldog such as the ARF, ACA, ARBA, ABBA, IABBR and others, and shall show proof of certification from such registries showing at least a two (2) generation pedigree.

3.2   Eligible individuals shall convey his or her intention to be a member of the Alapaha Blue-Blood Bulldog Club (ABBC) in writing, either by mail or electronically, and shall pass or send the same to the ABBC Secretary. Such letter of intent shall be addressed to the Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors and shall accompany all information required to support such application. Applicable fees for such application must first be paid before such application can be accepted.

3.3   Each application for membership shall be voted upon by the Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors and the same shall be approved or disapproved by majority vote.

3.4 Any member in good standing shall be eligible to be nominated to the Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors. Such nomination shall be made in writing by the person nominated or by the nominating committee. Any three (3) Board Members shall comprise a nominating committee.

3.5   A member in good standing shall be a member who pays his or her yearly dues and consistently attend club events.

3.6  Resignation.  Any member may resign or terminate his membership by submitting a letter of intent to the Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors  Such letter shall be submitted to the ABBC Secretary and effective upon submission.

3.7  Disciplinary Proceedings.  Any member of the Alapaha Blue-Blood Bulldog Club (ABBC)may face disciplinary proceedings and actions. Such proceeding shall be presided by the Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors. No action shall be taken by the ABBC Board unless the said member has been notified of such a proceeding and appropriate opportunity has been given to the member to be heard and defend himself.

3.8  Expulsion, Suspension.  Any member of the Alapaha Blue-Blood Bulldog Club (ABBC) may be expelled or suspended by seventy percent (70%) vote of the Board of Directors. Such suspension or expulsion shall be appropriately documented by the ABBC Secretary and entered into the Alapaha Blue-Blood Bulldog Club's (ABBC) records. A copy of the minutes and the decision of the ABBC Board shall be furnished to the member, specifically stating date and time and the reasons for such expulsion or suspension.


Artivle IV. Fees and Dues

4.1  The annual membership fee shall be $25.

4.2  Pursuant to Article 7.5 of the Constitution the Board shall have the authority to set the fees and dues of membership.


Article V. Committee Board of Directors

5.1 Members. The affairs and interests of the Alapaha Blue-Blood Bulldog Club (ABBC) shall be governed and managed by the Executive Board. An ancillary committee, however, has been established to aide in the strategic direction of the breed and the organization as a whole. The Committee will have its own board membership which will consist of the following members who are to be elected at Annual General Meetings. (15) The Committee Board Members, consisting of two (2) Chairmen, a (1) secretary, a (1) treasurer and eleven (11) Executive Board Members.

5.2  Term of Office. Each office of the Alapaha Blue-Blood Bulldog Club (ABBC) Committee Board Membership shall be held for two (2) years or until replaced by another member voted upon by the majority of the ABBC

Committee Board or appointed by the two ABBC Committee Chairmen. Their duties commence immediately after acceptance of such an outcome of the election or acceptance of the office following appointment by the ABBC Committee Chairmen.

5.3  Compensation. Without exception, all members of the Alapaha Blue-Blood Bulldog Club (ABBC) Committee Board shall not receive compensation for the office he or she holds or for the services rendered to carry out his or her duties as a member. Alapaha Blue-Blood Bulldog Club (ABBC) Committee offices or positions shall be accepted and shall remain as a volunteer position.

 


Article VI. Nomination, Election and Induction of Directors


Nominations
6.1 (a)  Nominations may  be made by any person in the Committee Board or any member of the Alapaha Blue-Blood Bulldog Club (ABBC). Such nomination shall be made in writing and sent to the ABBC Committee Secretary, addressed to the Committee Board, either by registered mail or sent electronically. Such nomination shall be read by the Alapaha Blue-Blood Bulldog Club (ABBC) Committee Secretary to the Alapaha Blue-Blood Bulldog Club (ABBC) Committee Board of Directors at the annual meeting or at a quorum.

6.2 (b)  As stipulated in Article 3.4 of this constitution a nomination shall be accepted or passed as soon as not less than three (3) of the Committee Members concur for the said nomination.

6.3 (c)  Nominations shall be considered, notwithstanding nominations from the previous year. There is no limit as to the number of nominations for a certain member. Nominations may also be made at the Annual Meeting or at a quorum.

6.4  Election.   Election to the Alapaha Blue-Blood Bulldog Club (ABBC) Committe Board Membership shall be made by secret ballot at the Annual Meeting or at a quorum. A vote may also be cast by absentee ballot in writing either by registered mail or electronically.  The nominee with majority vote shall be elected to the Alapaha Blue-Blood Bulldog Club (ABBC) Committee Board Membership. The result of such an election shall be noted by the ABBC Committee Secretary and entered in the Alapaha Blue-Blood Bulldog Club (ABBC) records.

6.5  Removal. Upon vote of seventy percent (70%) of the Alapaha Blue-Blood Bulldog Club (ABBC) Committee Board, any member of the Alapaha Blue-Blood Bulldog Club (ABBC)'s Committee Board may be removed pursuant to Article 3 section 8 of this constitution.  

6.6  In cases of vacancy, whether by death, resignation or removal, the Alapaha Blue-Blood Bulldog Club (ABBC) Committee Board Membership shall nominate and elect such member/s to the Alapaha Blue-Blood Bulldog Club (ABBC) Committee Board Membership pursuant to Article IV of this constitution.

6.7  Resignation. Resignation of any ABBC Committee Board Member shall be made in writing in the form of registered mail or electronic mail addressed to the Alapaha Blue-Blood Bulldog Club (ABBC) Committee Board. Such resignation shall be effective immediately.

6.8  Induction.  Induction of new Alapaha Blue-Blood Bulldog Club (ABBC) Committee Board Members shall take place at the meeting after elections


Article VII. Powers and Duties of the Committee Board

7.1  The Alapaha Blue-Blood Bulldog Club (ABBC) Committee Board, subject to the stipulations and limitations of the Articles of Incorporation and the Constitution, has the power to act in the best interest of the Alapaha Blue-Blood Bulldog Club (ABBC) and to take such steps as it may deem necessary for the advancement and accomplishment of its aims. It shall do everything legally possible to further the aims and interests of the Alapaha Blue-Blood Bulldog (ABBC). Any action or decision made by the Alapaha Blue-Blood Bulldog Club (ABBC) Committee Board Membership shall in no way be contrary to the stipulations of the Articles of Incorporation, or any of the terms in this Constitution.

7.2  The Alapaha Blue-Blood Bulldog Club (ABBC) Committee Board Membership has the authority to draw up such rules, conditions and regulations as may be deemed necessary in the orderly functioning of the Alapaha Blue-Blood Bulldog Club (ABBC) and for the betterment of the Alapaha Blue-Blood Bulldog breed.

7.3  The Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors, likewise has the power to alter, amend or repeal rules and regulations concerning the affairs of the Alapaha Blue-Blood Bulldog Club (ABBC).

7.4  The Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors has authority to nominate, appoint and elect member/s to the Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors, as well as,  suspend or terminate the privileges of a member pursuant to Articles 3.8 and 6.5 of the Constitution.

7.5  TheAlapaha Blue-Blood Bulldog Club (ABBC) Board of Directors has the authority to establish dues and fees or  alter or adapt the membership or other fees and/or raise any additional fees and charges as may be deemed necessary for the benefit of the Alapaha Blue-Blood Bulldog Club (ABBC).

7.6  The Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors has the authority to open one (1) banking account on behalf of tthe Alapaha Blue-Blood Bulldog Club (ABBC) and to draw, to accept, to endorse, negotiate or execute any bill of exchange, acknowledgement of debt, cheque or other negotiable document which has a bearing on the matters of the Alapaha Blue-Blood Bulldog Club (ABBC);

7.7  The Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors shall also has the power to buy, to lease, mortgage land, movable assets and possessions or to secure them for the Alapaha Blue-Blood Bulldog Club (ABBC) to sell, to mortgage, to lease, to alienate movable goods or immovable property and to employ the proceeds obtained in the manner most advantageous to the Alapaha Blue-Blood Bulldog Club (ABBC).

7.8  The Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors has the authority to collect and receive money, donations and other debts and to use them to the benefit of the Alapaha Blue-Blood Bulldog Club (ABBC) and/or the promotion of the Alapaha Blue-Blood Bulldog:

7.9  The Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors has the authority to call General Meetings or Special Meetings of the Alapaha Blue-Blood Bulldog Club (ABBC)or on account of a special request that is addressed to them according to the stipulations of the Constitution or otherwise if thought necessary;

7.10  The Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors also has the power to arbitrate or settle any conflict, should any arise, amongst members. To institute an investigation into disputes that may result from the application of the Constitution and to give final judgement;

7.11  The Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors has the authority to impose or enforce sanctions, as may be determined by the Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors for any infraction or violations of the rules and regulations set forth by the ABBC Board or the Constitution as may be prescribed by members of the Alapaha Blue-Blood Bulldog Club (ABBC).

7.12 The Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors shall assist all members of the ABBC Board, or to give instructions to appoint regional representatives. The Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors shall have the power to establish ABBC regional or satellite clubs.


7.14  TheAlapaha Blue-Blood Bulldog Club (ABBC) Board of Directors has the power to set-up committees and subcommittees to assist in its role to achieve the aims of the Alapaha Blue-Blood Bulldog Club (ABBC).


7.15  The Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors has the power to pass or decide on any matter brought before it.


Article VIII. Meetings

8.1 (a)  Annual Meeting. The Alapaha Blue-Blood Bulldog Club (ABBC) Executive Board will meet at such a time and place as may be decided by it from time to time provided that a meeting shall be held once every year.

8.1 (b)  Special Meetings. Special meetings maybe called upon by any of the two Chairmen or may be convened by more than fifty percent (50%) of the Alapaha Blue-Blood Bulldog Club (ABBC) Board Members.

8.1 (c) Quorum. A quorum shall consist of two thirds of the membership (2/3) provided that a (1) Chairman and 5 Board Members are present.

8.2  Every Alapaha Blue-Blood Bulldog Club (ABBC) Board Member shall be furnished a copy of the minutes by the Alapaha Blue-Blood Bulldog Club (ABBC) Secretary of all meetings not later than 30 days after the meeting.


ARTICLE IX. Duties of Officers

9.1  Chairman. The Chairmen shall preside over all regular and special meeting of the Alapaha Blue-Blood Bulldog Club (ABBC) and the Board of Directors. The Alapaha Blue-Blood Bulldog Club (ABBC) shall have the authority to exercise general supervision over regular club activities. The Chairmen shall likewise have the authority to appoint committees, regular or special and shall be an ex-officio member of all committees within the Alapaha Blue-Blood Bulldog Club (ABBC).

9.2  Treasurer. The Alapaha Blue-Blood Bulldog Club (ABBC) Treasurer shall take over the duties of the ABBC Secretary in his or her absence. More specifically, the ABBC Treasurer shall supervise and oversee all financial transactions of the Alapaha Blue-Blood Bulldog Club (ABBC) and keep all financial records.

9.3  Secretary.  In the absence of the Alapaha Blue-Blood Bulldog Club (ABBC) Treasurer, the ABBC Secretary  shall take over the duties of the ABBC Treasurer. The ABBC Secretary shall keep an accurate roll of members and keep the minutes of all meetings. The Alapaha Blue-Blood Bulldog Club (ABBC) Secretary shall also furnish copy of the minutes to all members of the Alapaha Blue-Blood Bulldog Club (ABBC) Board of Directors after each meeting. Likewise, the ABBC Secretary shall receive and respond to all correspondence relating to the affairs of the Alapaha Blue-Blood Bulldog Club (ABBC).



Article X. The Advisory Committee and other Committees

10.1  Pursuant to Article 7.14 and Article 9.1 of the Constitution the Chairmen and the Board of Directors shall have the authority to appoint an Advisory Committee to the Alapaha Blue-Blood Bulldog Club (ABBC). The Alapaha Blue-Blood Bulldog Club (ABBC) Advisory Committee shall be composed of individuals within and outside the club. The Alapaha Blue-Blood Bulldog Club (ABBC) Advisory Committee shall serve only in an advisory capacity.

10.2  Other Committees, regular or special, may also be set up by the Alapaha Blue-Blood Bulldog Club (ABBC) Board and the Chairmen to assist the ABBC in its affairs.
